Two Columns

On June 24, 2026, Gautam Adani addressed shareholders at the Adani Group's 34th Annual General Meeting. The theme: "Accelerating Infrastructure, Leveraging Intelligence." The speech was 2,500 words of conviction, scale, and nation-building rhetoric.

It was also a masterclass in selective emphasis. What was said was impressive. What was not said was equally instructive. Here is the AGM in two columns — the numbers the chairman presented, and the numbers he didn't.

Column 1: What the AGM Celebrated

The Financial Performance

Metric FY 2025–26 Revenue ₹2.92 lakh crore (+7.4% YoY) EBITDA ₹94,834 crore Profit After Tax ₹46,376 crore (+13.9%) Cash Flow from Operations ₹67,995 crore Net Debt-to-EBITDA 3.3x Capital Expenditure ₹1.5+ lakh crore (record)

These are strong numbers. Revenue growth of 7.4% in a year of global volatility. Profit growth of 13.9%. Cash flow of nearly ₹68,000 crore. And a capital expenditure programme that Adani says represented 30% of India's total new private-sector capex for the year.

The Operational Milestones

The speech highlighted tangible deliverables:

Ports: Adani Ports crossed 500 million tonnes of cargo — targeting 1 billion by 2030. Vizhinjam crossed 1 million TEUs in its first operational year — the fastest for any Indian port.

Airports: Navi Mumbai International Airport opened in December 2025 — 90-million-passenger capacity, built in a "world-record" four-plus years. Both Navi Mumbai and the new Guwahati terminal made the list of the world's seven most beautiful airports.

Energy: Adani Power is implementing a ₹2 lakh crore capex programme targeting 45 GW of capacity. A partnership with Bhutan's Druk Green Power Corporation will develop 5,000 MW of hydropower. Adani Atomic Energy is targeting 10 GW of nuclear capacity by 2035.

Digital: The data centre business is targeting 3 GW by 2030. A binding MoU with Google for a gigawatt-scale data centre in Visakhapatnam. Partnerships with Microsoft, Uber, and Flipkart.

Transmission: Order book at Adani Energy Solutions rose to ₹72,000 crore. India's only private-sector player with proven HVDC capability.

Defence: Adani drones, anti-drone systems, missiles, and ammunition supported the Armed Forces during Operation Sindoor.

Cement: Capacity expanded to 110 MMTPA. Mining services capacity reached 145 MTPA.

The Rights Issue

Adani described the ₹25,000 crore rights issue — one of the largest in Indian corporate history — as "a referendum on our credibility." The oversubscription was positioned as shareholder endorsement of the group's direction despite external scrutiny.

The Framing

The speech repeatedly invoked "nation-building" as the group's purpose. It referenced "extraordinary scrutiny" without naming any specific controversy. The closest acknowledgment: "US legal matters now behind the group, enabling renewed focus on growth."

Column 2: What the AGM Didn't Mention

The Absolute Debt Number

The speech cited Net Debt-to-EBITDA of 3.3x — a ratio that suggests manageable leverage. What it did not cite: the absolute net debt figure.

As of September 2025, the Adani Group's net debt stood at approximately ₹2.78 lakh crore — roughly $32 billion. Global banks and capital markets account for 41% of this total.

The ratio and the absolute number tell different stories. 3.3x EBITDA sounds disciplined. ₹2.78 lakh crore sounds enormous. Both are accurate descriptions of the same balance sheet. The AGM presented one.

The US Legal Settlements — All Three

The speech said "US legal matters now behind the group." It did not specify what those matters were or what they cost.

Settlement 1 — SEC: Gautam Adani agreed to pay $6 million and nephew Sagar Adani $12 million to settle the SEC's civil fraud lawsuit alleging bribery and investor misleading related to Indian solar contracts. Both settled "without admitting or denying the allegations."

Settlement 2 — Treasury: Adani Enterprises paid $275 million to the US Treasury to settle a probe into purchasing sanctioned Iranian energy — a matter unrelated to the Hindenburg allegations.

Settlement 3 — DOJ: The Department of Justice dropped criminal charges against Gautam Adani. Reporting by the New York Times indicated that Adani's legal team had proposed $10 billion in US investment and 15,000 jobs if the charges were dropped.

Total US legal cost: approximately $293 million in settlements and penalties. The AGM did not mention this figure.

The Hindenburg Aftermath

The speech did not mention Hindenburg Research by name. For context: SEBI cleared the Adani Group of all Hindenburg-related allegations in September 2025, stating the charges were "not established." The Supreme Court also did not find sufficient evidence to proceed. These are material clearances — and arguably worth celebrating at an AGM. Their absence from the speech suggests a deliberate strategy of not re-invoking the controversy even to claim vindication.

The 45 GW Question

Adani Power's ₹2 lakh crore capex programme targets 45 GW of capacity. The speech did not specify the fuel mix — but Adani Power's existing fleet is overwhelmingly thermal (coal-based). The 45 GW target, unless substantially composed of renewables, represents one of the largest private-sector commitments to coal-fired generation in the world — at a time when India has committed to net-zero by 2070 and renewable capacity is growing at record pace.

The Adani Group's renewable portfolio (Adani Green Energy) was not a focus of this speech. The nuclear and hydropower entries were mentioned — but these are long-horizon projects (2035 for nuclear, multi-year for Bhutan hydro). The near-term capacity growth is thermal.

The Concentration Question

"30% of India's total new private-sector capital expenditure" is presented as a badge of scale. It is also, by definition, a measure of concentration — one corporate group accounting for nearly a third of all private infrastructure investment in the country.

Whether this concentration is a strength (efficient capital deployment by a proven platform) or a risk (single-point-of-failure dependency for national infrastructure) depends on one's perspective. The AGM presented it exclusively as the former.

What "Nation-Building" Means in Numbers

The phrase "nation-building" appeared seven times in a six-page speech. It is the Adani Group's core rhetorical framework — the argument that private infrastructure investment at this scale is indistinguishable from public purpose.

The data supports parts of this claim:

  • Vizhinjam is a genuine national asset — India's first deep-water transshipment port, reducing dependence on Colombo and Singapore.

  • Navi Mumbai Airport addresses a decades-old capacity bottleneck for India's commercial capital.

  • Data centres at gigawatt scale position India in the global AI infrastructure race.

  • Transmission HVDC capability is a strategic asset for renewable energy integration.

The data also complicates it:

  • ₹2.78 lakh crore in debt is ultimately backstopped by Indian banks, financial institutions, and — in the event of distress — the Indian public.

  • 45 GW of thermal power is private capacity, but the environmental externalities are public.

  • 30% of private capex concentration means that any financial stress at the Adani Group has systemic implications for the Indian economy.

Nation-building and private profit are not mutually exclusive. But they are not identical either. The AGM treated them as synonymous.

The Bottom Line

Gautam Adani's AGM speech was strong on scale, conviction, and operational execution. The numbers — ₹2.92 lakh crore in revenue, 13.9% profit growth, Vizhinjam's first-year performance, Navi Mumbai Airport — represent genuine infrastructure delivery.

But an AGM that invokes "nation-building" seven times while omitting ₹2.78 lakh crore in absolute debt, $293 million in US settlements, and the fuel mix of a 45 GW power expansion is presenting one column of a two-column balance sheet.

Both columns are data. Both columns are real. The shareholder who reads only one is making a half-informed decision.
